1. Introduction & acceptance These Terms of service ("Terms") constitute a binding legal agreement between you ("User," "you," or "Licensee") and Sal Hakim Agency LLC, an Arizona limited liability company ("Company," "we," "us," or "our").
By accessing salhakim.com (the "Site"), installing or using the Atlas Maps 3D Figma plugin (the "Plugin"), or engaging the Company for professional services, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Site and Plugin.
2. Age restriction The Site and Plugin are intended solely for users who are eighteen (18) years of age or older. By using our services, you represent and warrant that you meet this age requirement.
Section A: Portfolio, IP & anti-scraping
3. Intellectual property rights 3.1. Ownership: The Site, its original content, features, functionality, design tokens, custom code components, and the "Atlas Maps 3D" source code are owned by the Company and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. 3.2. Prohibited acts: You agree strictly NOT to:
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Plugin or Site components.
Copy, modify, or create derivative works of any custom code, UI components, or design aesthetics found on the Site.
AI training: Accessing, crawling, or scraping the Site or Plugin for the purpose of training artificial intelligence, machine learning models, or deep learning algorithms is strictly prohibited.
4. Portfolio data & liquidated damages 4.1. Protected data: The portfolio section of this Site displays proprietary performance metrics, financial impact data, and conversion statistics ("Portfolio Data") derived from the Company’s professional engagements. This data is anonymized and aggregated for illustrative purposes. 4.2. No competitive use: You acknowledge that this Portfolio Data represents the Company's intellectual property and professional know-how. You are strictly prohibited from using this data to identify specific clients, reverse-engineer business models, or for any competitive commercial purpose. 4.3. Liquidated damages: You agree that a breach of Section 3.2 (AI training) or Section 4.2 (Competitive use) would cause irreparable harm to the Company, the exact value of which is difficult to calculate. Therefore, you agree that for each such violation, you shall be liable to pay the Company liquidated damages in the amount of $5,000.00 USD, plus all reasonable attorney’s fees and court costs incurred by the Company in enforcing this provision. This is not a penalty, but a reasonable estimate of damages.
5. Feedback assignment Any feedback, comments, or suggestions you may provide regarding the Plugin or Services is entirely voluntary. You hereby assign all rights in such feedback to the Company, and we shall be free to use such feedback as we see fit without any obligation or compensation to you.
Section B: Atlas Maps 3D (EULA)
6. License & restrictions 6.1. Grant of license: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Atlas Maps 3D Figma plugin. 6.2. Free tier & rate limiting: Users on the Free Tier are provided access to a restricted Mapbox environment managed by the Company.
Usage cap: Free Tier usage is strictly limited to ten (10) search queries per 24-hour period.
Anti-circumvention: You agree not to bypass, spoof, or circumvent the rate-limiting measures or environment restrictions imposed on the Plugin. Any attempt to spoof the application environment to bypass these limits constitutes a material breach of this Agreement. 6.3. Beta disclaimer: The Plugin is currently in a "Beta" release phase. It is provided "AS IS" and may contain bugs, errors, or incomplete features. We offer no warranty that the Plugin will be stable, uninterrupted, or error-free.
7. Third-party infrastructure The Plugin relies on third-party services, including Google Cloud Platform (for authentication/hosting) and Mapbox (for mapping data). 7.1. Service availability: We shall not be liable for any failure or delay in performance due to outages, API changes, or service terminations by Google Cloud Platform or Mapbox. 7.2. Mapbox terms: By using the Plugin, you acknowledge and agree to be bound by the Mapbox Terms of Service.
8. Payments, taxes & refunds (Lemon Squeezy) 8.1. Merchant of record: Our order process is conducted by our online reseller, Lemon Squeezy. Lemon Squeezy is the Merchant of Record for all Plugin transactions. 8.2. Taxes: You acknowledge that Lemon Squeezy is solely responsible for the calculation, collection, and remittance of all applicable sales taxes, VAT, GST, or similar consumption taxes. 8.3. 30-Day satisfaction guarantee: Notwithstanding the Merchant of Record's standard terms, the Company offers a discretionary 30-Day Satisfaction Guarantee for the Pro Tier license. If you are not satisfied, you may request a full refund within thirty (30) days of purchase by contacting us at [Your Email]. Upon refund, your Pro Tier license key will be deactivated.
Section C: General legal provisions
9. Limitation of liability To the fullest extent permitted by law, in no event shall Sal Hakim Agency LLC be liable for any indirect, incidental, special, consequential, or punitive damages. The Company's total liability for any claims under these Terms shall not exceed the total amount paid by you to the Company in the twelve (12) months preceding the claim (or $15.00 USD if the claim relates solely to the Plugin).
10. Indemnification You agree to indemnify, defend, and hold harmless the Company against any third-party claims, damages, and expenses (including attorney's fees) arising from: (a) your use of the Site or Plugin; (b) your violation of these Terms; or (c) your violation of any third-party right, including Mapbox or Google Cloud terms of service.
11. Governing law & dispute resolution 11.1. Jurisdiction: These Terms shall be governed by the laws of the State of Arizona, without regard to its conflict of law provisions. 11.2. Mediation: In the event of a dispute, the parties agree to attempt to resolve the dispute through good faith negotiation. If unresolved, the parties agree to attempt mediation in Maricopa County, Arizona, before pursuing litigation. 11.3. Venue: Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona. 11.4. Prevailing party: In any litigation arising from this Agreement, the prevailing party shall be entitled to recover its reasonable attorney's fees and costs.
12. Changes to terms We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page. Your continued use of the Site or Plugin constitutes acceptance of the new Terms.
